Kings Point Amateur Radio Club
Preamble:
We, the
undersigned, wishing to secure for ourselves the pleasures and benefits of an
association of persons commonly interested in Amateur Radio, Amateur Radio
Emergency communications, electronics, computers, weather, and general
communication constitute ourselves the Kings Point Amateur Radio Club (KPARC)
and enact this constitution as our governing law. It shall be our purpose to

persons interested in Amateur Radio communications shall be eligible for
membership. Membership shall be by application and election upon such terms as
the club shall provide in its by-laws.
Section
I.
The officers of this club shall be President, Vice-President, Secretary and
Treasurer.
Section
2.
The officers of this club shall be elected for a term of one (1) year by vote
of the membership present at the December meeting for this purpose.
Section
3.
Vacancies occurring between elections shall be filled by special appointment by
the club President. This appointment shall continue until the next regular
election.
Section
4.
Officers may be removed for cause by a three-fourths vote of the Board of
Directors.
Section
5.
The Board of Directors will consist of the four elected officers, the club
license trustee, and the immediate past president. If the immediate past president
can not serve, the president may appoint a club member. The President may also appoint a member-at-
large as required to maintain an odd number of voting board members.
Section
I.
The President shall preside at all regular and board meetings, and
conduct them according to the rules adopted. He/She shall enforce due
observance of this Constitution and by-laws, decide all questions of order,
sign all official documents adopted by the club, and perform all other duties
pertaining to the office of the President.
Section
2.
The Vice-President shall assume all the duties of the President in
his/her absence. In addition, he/she shall organize club activities, and
advance club interest and activity as approved by the club. He/She shall
maintain close liaison with the ARRL Section Emergency Coordinator.
Section
3.
The Secretary shall keep a record of the proceedings of all meetings,
keep a roll of all members, coordinate the receiving, processing and retaining
of membership applications, carry on all correspondence, read communications at
each meeting, email meeting notices to each member when applicable, and
coordinate club publicity. At the expiration of his/her term he/she shall turn
over all items belonging to the club to his/her successor.
Section
4.
The Treasurer shall receive and receipt all monies paid to the club and
keep an accurate account of all money received and expended, paying no bills
without proper authorization by the board of directors. At the end of each
quarter he/she shall submit an itemized statement of disbursements and
receipts. At the end of his/her term he/she shall turn
over everything in his/her possession belonging to the club to his/her
successor.
The
By-Laws shall provide for regular and special meetings. Robert's Rules of order
shall govern the proceedings.

V
Dues
At the
recommendation of the board of directors, the members by majority vote of those
present at any regular meeting may levy upon the general membership such dues
or assessments as deemed necessary for the operation of the organization.
Nonpayment of such dues or assessments shall be cause for expulsion.
Members
who are in good standing and have been a member of KPARC for 20 years or more
will be granted life time membership. Also any member in
good standing who has held an amateur radio licensed for 50
years or more shall be granted life time membership in KPARC.
This
Constitution and/or By-Laws may be amended by a two-thirds vote of those
members present at a meeting called for that purpose. Proposals for amendments shall be submitted
to the board, in writing, at a regular meeting. Upon review by the board of
directors, members shall be notified least 24 hours in advance of a meeting
called for the purpose of voting on said changes.

Secretary
-It shall be the duty of the Secretary to keep the Constitution and by-laws of
the club and have the same with him/her at every meeting. He/She shall note all
amendments, changes and additions on the constitution and shall permit them to
be viewed by members upon request.
2.
Membership
- Membership is open to both Regular (licensed amateurs) and Associate (non-
licensed) parties. Regular membership includes all club privileges as well as
rights to vote and hold a club office. Associate, non-licensed membership
cannot vote or hold office. Applications
for membership shall be submitted to the secretary. Rejected applications are
subject to a majority vote of members present at a regular meeting.
3.
Meetings
- Regular meetings shall be held on the first Monday of each calendar month.
The club President can change a meeting date due to any unforeseen
circumstances. Special meetings may be called by the President upon the written
request of any five (5) club members. Notices shall be sent to members
concerning special meetings and the business to be transacted. Only business
designated in the notice shall be transacted at a special meeting. Special
meeting notices shall be sent so that they arrive no less than 24 hours before
the meeting.
4. Dues
-Annual membership dues are payable on January 1st of each
year. Payment can be made at the monthly
meetings or by mailing them to the treasurer.
The amount of dues will be recommended by the board of directors and
subject to the approval of a majority vote at a regular meeting. Any dues paid with an application that is
later rejected will be fully refunded. Applications for membership received
after July 1st shall be subject to half the annual dues.
5.
Delinquent Dues – After the March meeting, any member who has not
paid the required dues shall be identified by the club treasurer to the secretary
who will then send written notice to the delinquent member. At the April, or then next regular meeting,
the treasurer shall identify and present to the club members any remaining
unpaid member names. After a floor
discussion, a vote of those present shall be taken regarding the unpaid members
expiration of membership from the club.
A majority vote of those present shall rule. Note: If there are any extensions granted to
individual members at this time, it shall be communicated to them in writing by
the secretary and be binding to require the member to pay up by the end of the
extension or have membership automatically expire at the end of the
extension.
6.
Termination/Resignation – Any member upon notification of
expiration of membership, termination, or resignation from the club shall
immediately return his/her ID badge, club keys, or other club property, to the secretary
by mail or in person.
7.
Reinstatement – Any previous member who had their membership
expire because of non-payment of dues or who did not submit a notice of
resignation in writing shall be required to pay one year maximum past unpaid
and present dues before being reinstated.
8.
Member information – All club members are responsible for keeping the secretary
informed of their current correct phone number(s), email address(s), mailing
address(s) and current call sign and license level.
9.
Notices
– All references to written notice shall be understood to mean email
notification where the member has registered an email address with the secretary
of the club.
10.
Committees
-The president shall appoint specialized committees to study and investigate
specific ideas of concern to the club.
